Terms of Service

1. Agreement to Terms

By accessing or using the POPPN mobile application ("App"), website, or any related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

POPPN is operated by POPPN Inc. ("POPPN," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and POPPN.

2. Eligibility

You must be at least 18 years old to use POPPN. By using the Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Services under applicable law
• You will comply with these Terms and all applicable local, state, national, and international laws

3. Account Registration

To access certain features, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

4. User-Generated Content

POPPN allows you to upload, post, and share videos, photos, and other content ("User Content") related to nightlife venues and experiences. By posting User Content, you:

• Grant us a license: You grant POPPN a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, display, reproduce, distribute, and modify your User Content in connection with operating and promoting the Services
• Represent ownership: You represent that you own or have the necessary rights to post the content and grant these rights
• Accept content expiration: Content older than 30 days may be automatically deprioritized or removed from active feeds, in keeping with our real-time platform focus

Content Guidelines

You agree NOT to post content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of another's privacy
• Contains nudity, sexually explicit material, or graphic violence
• Promotes illegal drug use or underage drinking
• Infringes on any third party's intellectual property rights
• Contains spam, advertisements, or unauthorized commercial solicitations
• Records individuals without their knowledge or consent where legally required
• Misrepresents your identity or affiliation with any person or venue
• Depicts or promotes dangerous or harmful activities

We reserve the right to remove any User Content at our sole discretion and without notice.

5. Venue Information & Vibe Scores

POPPN displays venue information, Vibe Scores, and status indicators (e.g., "ON FIRE," "PACKED," "BUZZING," "CHILL") based on crowd-sourced data, video recency, check-ins, and algorithmic analysis.

• Vibe Scores and status badges are estimates based on available data and are not guaranteed to be accurate
• POPPN does not guarantee the accuracy, completeness, or timeliness of any venue information
• We are not responsible for your experience at any venue
• Venue hours, capacity, dress codes, cover charges, and availability may differ from what is shown in the App

6. Scout Rank System

POPPN features a Scout Rank System that recognizes active contributors. Ranks (Newcomer, Explorer, Regular, Insider, VIP, Legend) are earned through posting content and engagement. POPPN reserves the right to:

• Modify rank criteria, benefits, and thresholds at any time
• Remove or adjust ranks for users who violate these Terms
• Discontinue or modify the Scout Rank System entirely

7. Subscriptions & Payments

POPPN may offer premium subscription plans ("Scout Pro") and other paid features. If you purchase a subscription:

• Payment will be charged to your chosen payment method at confirmation of purchase
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period
• You can manage and cancel subscriptions through your device's app store settings
• No refunds will be provided for partial billing periods, except as required by applicable law
• Prices may change with reasonable notice; continued use after a price change constitutes acceptance

8. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to interfere with, compromise, or disrupt the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use bots, scrapers, or automated tools to access the Services
• Create fake accounts, inflate Vibe Scores, or manipulate the platform
• Impersonate any person or entity
• Collect personal information of other users without consent
• Use the Services to stalk, harass, or harm another person
• Circumvent any access controls or usage limits

9. Intellectual Property

The POPPN name, logo, Vibe Score system, app design, and all related trademarks, service marks, and trade dress are the property of POPPN Inc. The Services, including all software, design, text, graphics, and interfaces, are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

10. Third-Party Services

The Services may contain links to or integrations with third-party websites, services, or content (e.g., Google Maps, venue booking platforms). POPPN is not responsible for third-party content, policies, or practices. Your interactions with third parties are governed by their own terms and privacy policies.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

POPPN does not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee the safety, quality, or legality of any venue displayed in the App.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POPPN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

POPPN is not liable for any harm, injury, or loss resulting from your attendance at any venue discovered through the App, including but not limited to personal injury, property damage, or any criminal acts by third parties.

13. Indemnification

You agree to indemnify and hold harmless POPPN, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, your User Content, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, disclaimers, limitations of liability, and indemnification survive termination.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware, and you consent to the personal jurisdiction of those courts.
